Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of TackQuote's B2B quoting and revenue platform, including the seller portal, buyer portal, API, and any connected mobile or embedded application (collectively, the "Service"), operated by TackQuote ("TackQuote," "we," "us"). By creating an account or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the company you represent ("Customer").
2. Accounts
You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate account information and promptly update it if it changes. TackQuote may suspend accounts used for fraud, abuse, or violation of these Terms.
3. Subscriptions and Billing
Paid plans are billed in advance on a recurring basis (monthly or annual) via the payment method on file, processed by Stripe, PayPal, or Razorpay depending on region. Fees are exclusive of applicable taxes unless stated otherwise. Except where required by law or explicitly stated in Section 4 (Refunds), fees are non-refundable. TackQuote may change subscription pricing with at least 30 days' notice before it takes effect on your next billing cycle.
4. Refunds
Subscription fees are governed by our Refund Policy. Amounts a Customer collects from its own Buyers through the platform's checkout/payment features are between the Customer and its Buyer; TackQuote is not a party to that underlying sale and does not arbitrate Customer-Buyer payment disputes, beyond providing the transaction records needed to resolve them.
5. Acceptable Use
You agree not to:
- Use the Service to send fraudulent quotes, invoices, or payment requests.
- Attempt to bypass rate limits, security controls, or tenant data isolation.
- Reverse-engineer, resell, or white-label the Service without a separate written agreement.
- Upload unlawful, infringing, or malicious content.
- Use the Service in violation of applicable sanctions, export control, or anti-money-laundering law.
6. Customer Data and Buyer Data
As between TackQuote and Customer, Customer owns the data it and its Buyers submit to the Service ("Customer Data"). TackQuote processes Customer Data solely to provide the Service, per our Privacy Policy. Customer is responsible for having the legal right to submit its Buyers' data to the Service and for its own compliance obligations toward those Buyers.
7. Third-Party Integrations
The Service can connect to third-party platforms (e-commerce, CRM, accounting, tax, and payment providers) at Customer's direction. TackQuote is not responsible for those third parties' availability, accuracy, or terms — use of a connected third-party service is also governed by that provider's own terms.
8. Intellectual Property
TackQuote retains all rights to the Service's software, design, and branding. Customer retains all rights to its Customer Data and any content it uploads. Customer grants TackQuote a limited license to host, process, and display Customer Data solely to operate the Service.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY STATED IN A SEPARATE WRITTEN SERVICE LEVEL AGREEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TACKQUOTE'S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER TO TACKQUOTE IN THE 12 MONTHS PRECEDING THE CLAIM, AND TACKQUOTE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOST DATA.
11. Termination
Either party may terminate for convenience at the end of the then-current billing cycle. TackQuote may suspend or terminate immediately for a material breach of these Terms, including non-payment or violation of Section 5 (Acceptable Use). On termination, Customer may export its Customer Data for 30 days before it is deleted or anonymized per our data retention practices.
12. Governing Law
These Terms are governed by the laws of the jurisdiction in which TackQuote is incorporated, without regard to conflict-of-law principles, unless a mandatory local consumer-protection law provides otherwise.
13. Changes to These Terms
We'll post material changes to this page with an updated "last updated" date, and notify Customers by email for changes that materially affect their rights or obligations.
